Terms of Service
Last updated: October 31, 2026
By accessing Yori websites or creating an account, you agree to these Terms. If you use the product on behalf of an organization, you represent that you can bind that organization. If you do not agree, do not use the service.
These Terms are written for a production SaaS product. They are not a substitute for legal advice tailored to your jurisdiction or contracts. Enterprise customers may supersede parts of these Terms by a signed order form or master agreement.
The service
Yori helps agencies collect, chase, and prove client homework: structured requests ("Asks"), reminders, client portals, kits (reusable Ask packages), staff collaboration, audit history, and related accountability tools. Features and plan limits are described on the website pricing section and in workspace Settings. We may improve or change features; material removals of paid capabilities will be communicated with reasonable notice where practical.
Accounts, staff seats & client access
You are responsible for account credentials, inviting only appropriate staff and clients, and for content you and your clients submit. Staff seats are limited by plan. Client portal users access work you assign via authenticated sessions or magic links sent to their email. Keep passwords and magic links confidential. Magic links expire; treat them like passwords. Do not attempt unauthorized access, probe others' workspaces, or circumvent security controls (including CAPTCHA and rate limits).
You must ensure client contacts have consented (or that you have another lawful basis) to receive transactional emails about project homework you initiate. You remain responsible for the content of reminders and invites your workspace sends.
Acceptable use
You may use Yori only for lawful professional workflows. Without limiting that duty:
- No unlawful, harmful, harassing, or deceptive content.
- No malware, phishing, spam, or abuse of email, reminders, webhooks, or uploads.
- No scraping, bulk extraction, or automated harvesting that degrades the service or copies others' non-public data.
- No misuse of integrations, webhooks, APIs, CAPTCHA, or uploaded files (including storing or distributing malware).
- No resale of the service as a white-label product except under an Enterprise agreement that expressly allows it.
We may suspend or terminate accounts that violate these Terms or create security, legal, or operational risk to Yori or other customers.
Customer content & Community Kits
You retain ownership of content you and your clients submit. You grant us a limited license to host, process, transmit, and display that content solely to provide and secure the service (including backups, abuse detection, and support you request). You represent you have the rights needed to submit client materials and to invite client users.
Kits installed into your workspace are private copies unless you publish them. Public Community Kits you publish may be visible to other users under the license or contribution terms shown at publish time. Installing a Community or public Kit does not by itself email clients or start reminders; you control when projects are sent. Published kit metadata (title, description, version) may be indexed for discovery. Do not publish confidential client data in public kits.
Client portal, reminders & email
Reminder ladders, chase policies, and transactional emails exist to help your team follow up on open Asks. You configure timing and tone within plan capabilities. Free plans include basic reminders; paid plans unlock fuller ladders and customization where offered. We may apply fair-use rate limits so reminder volume does not harm deliverability or other customers. You must not use reminders for marketing spam unrelated to assigned homework.
Uploads, hosted storage & connectors
Files uploaded into Yori count toward your plan's hosted storage quota and are subject to size, type, and malware checks. Do not upload unlawful content or data you are not authorized to process. If you later connect a third-party drive or folder provider, heavy binaries may remain in that provider while Yori keeps links, metadata, or proofs. That arrangement does not waive seat, Ask, reminder, or abuse limits, and does not entitle you to a lower list price solely because files live elsewhere unless an Enterprise agreement says so.
Plans, billing & Enterprise
Self-serve paid plans (Pro and Agency) are billed through Stripe according to the selected price and interval shown at checkout and on marketing pages. Fees are generally non-refundable except where required by law or expressly stated. You may cancel to stop future renewal; access continues through the paid period already covered. Downgrades may leave you over plan limits until you reduce usage; creates, invites, and uploads may be blocked until you are within caps.
Enterprise (plan code BUSINESS in product systems) is sold via contact sales. Custom seats, storage, security review, procurement paperwork, and billing terms are agreed in writing. There is no public self-serve Stripe price for Enterprise unless we expressly configure one for a signed deal.
Plan limits, storage & fair use
Each plan includes hard limits enforced by the product, including active projects, clients, team seats, kits, concurrent active Asks, and hosted file storage. Marketing pages summarize those limits; the entitlements configured for your workspace control what you can create and upload. Workspace Settings shows usage versus caps. Exceeding a limit may block the action until you upgrade, remove or archive data, or agree to a custom plan. See the pricing section on the homepage for the current matrix.
We apply fair-use rate limits on authentication, contact forms, uploads, reminders, webhooks, and similar automated paths to protect the service and other customers. Circumventing limits, bulk scraping, spam reminders, or storage abuse is prohibited. We may throttle, suspend, or terminate accounts that create unreasonable load or harm.
Webhooks and integration destinations (where enabled on Agency or Enterprise) must point to endpoints you control. You are responsible for securing secrets and for the systems that receive events. We do not currently offer a general public REST API solely because webhooks exist; API-style access, if added later, may carry separate terms.
Custom domains, where offered on eligible plans, remain subject to DNS verification, branding rules, and our ability to revoke domains used for abuse or trademark infringement.
Security, CAPTCHA & analytics consent
We use industry-standard practices appropriate to a multi-tenant SaaS product (access controls, encryption in transit, and encryption at rest for sensitive fields and uploads where designed). No method of transmission or storage is perfectly secure. Public forms may require Google reCAPTCHA or similar bot checks. Optional analytics load only after cookie consent, as described in our Privacy Policy and Cookie Policy.
Privacy & data retention
Personal data is handled as described in our Privacy Policy. We retain workspace data while your account is active and for a limited period afterward for backups, dispute resolution, and legal compliance, then delete or anonymize it subject to lawful exceptions. You may request export or deletion through support channels subject to verification and legal holds.
Disclaimers
The service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. Yori does not guarantee that client deadlines will be met; the product supports accountability workflows, it does not create legal obligations between you and your clients. Audit trails and prove reports are tools to document workflow events; they are not legal advice or certified evidence for every jurisdiction.
Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or lost-profit damages, or for loss of data beyond our reasonable backup practices. Our aggregate liability for claims relating to the service is limited to the fees you paid us for the service in the three months before the claim (or USD $100 if you are on a free plan).
Indemnity
You will defend and indemnify us against claims arising from your content, your clients' use of portals you invite them to, emails and reminders you cause to be sent, published kits, or your violation of these Terms, except to the extent caused by our willful misconduct.
Changes & termination
We may update these Terms by posting a revised version with a new "Last updated" date. Continued use after changes constitutes acceptance. Either party may terminate for convenience subject to plan terms; we may terminate immediately for material breach or abuse. On termination, your right to access the service ends; we may delete data after the retention window in the Privacy Policy.
